Terms of Service

Agreement

These Terms of Service ("Terms") govern your use of services provided by Visionary PS, LLC ("Visionary PS", "we", "our") and any website or project we build for you ("Client"). By engaging our services, you agree to these Terms.

Services

Visionary PS provides custom website design and development services, including but not limited to: website design, front-end and back-end development, local SEO setup, hosting configuration, and ongoing maintenance. The specific scope of each project is defined in a written proposal or invoice agreed upon before work begins.

Payment

  • A 50% deposit is required before design work begins. The remaining 50% is due upon project completion before the site goes live.
  • Monthly hosting and maintenance fees are billed on a recurring basis (currently $30/month) and are due on the same day each month.
  • All prices are in USD. Invoices unpaid after 14 days may incur a late fee.
  • Refunds: The deposit is non-refundable once design work has begun. If a project is cancelled mid-build, the completed work up to that point is billed at a prorated rate.

Revisions

We provide unlimited revisions during the active project period (from deposit to launch). Revisions are defined as modifications to the agreed-upon scope of work. Requests for entirely new features or major scope changes after the design phase may be quoted separately.

Intellectual Property & Ownership

Upon receipt of final payment, the Client owns all rights to the completed website, including all source code, design files, and content produced by Visionary PS for the project. Until final payment is received, all work remains the intellectual property of Visionary PS.

Visionary PS retains the right to display completed work in our portfolio and on our website as examples of our work, unless the Client requests otherwise in writing.

Client Content

The Client is responsible for providing accurate and legally owned content (text, images, logos, videos). By providing content to Visionary PS, the Client warrants that they have the legal right to use and distribute such content. Visionary PS is not liable for any claims arising from Client-provided content.

Hosting & Maintenance

Monthly hosting includes server hosting, SSL certificate renewal, uptime monitoring, and up to a reasonable number of minor content updates per month (e.g., changing text, swapping images, updating pricing). Major structural changes or new features are quoted separately. Visionary PS reserves the right to adjust monthly pricing with 30 days' written notice.

Clients may cancel hosting at any time with 30 days' notice. Upon cancellation, all files and credentials are delivered to the Client within 5 business days.

Timelines

We commit to delivering most projects within 5–10 business days from deposit. Timelines assume prompt Client feedback and content delivery. Delays caused by late content, extended revision cycles, or lack of response may extend the timeline accordingly. Visionary PS is not liable for consequential damages caused by project delays.

Limitation of Liability

Visionary PS's total liability under these Terms shall not exceed the total amount paid by the Client for the specific project in question. We are not liable for indirect, incidental, or consequential damages including but not limited to lost revenue, lost data, or business interruption.

Warranties

We warrant that the websites we build will function as described at the time of delivery. We do not warrant uninterrupted or error-free operation in perpetuity, as third-party hosting, browser updates, and platform changes are outside our control. We will address reported issues promptly under an active hosting plan.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Palm Beach County, Florida.

Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date when we do. Continued use of our services after changes constitutes acceptance.
